By accessing and using the ABRClouds website, services, or any associated software development kits (SDKs), you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. If you do not accept these terms, you should refrain from using the ABRClouds services

Description of Service

ABRClouds offers cloud storage solutions, as well as premium services such as Telegram Premium and educational resources with over 25,000 courses. The service also includes a vast database of mixed data and high-quality music video files

Account Registration and Use

To access certain services, you may be required to register an account with ABRClouds. Each customer or company is limited to one account. You must provide a valid email address and create a password to register and maintain the confidentiality of your account information.

Payment and Subscription

Services can be subscribed to using credit cards or other payment methods such as bank transfers. Once payment is made, it is non-refundable

Intellectual Property Rights

Customers are granted a non-exclusive, perpetual, royalty-free right to use the metadata of music content and other content provided by ACRCloud during the provision of services.

User Conduct

Customers are expected to use the services for internal business purposes only and may not misuse the services in any way that violates these terms. The services may only be used by the customer’s employees or authorized independent contractors.

Branding and Logo Use

Customers utilizing ABRCloud’s technology must adhere to the guidelines for the application and usage of the ACRCloud logo and branding, including the Brand Exposure program requirements.

Disclaimers and Limitations of Liability

The services are provided “AS IS” without any warranties, and ACRCloud will not be liable for any indirect, incidental, or consequential damages arising from the use of the services.

Indemnification

Customers agree to indemnify and hold harmless ABRCloud and its affiliates from any claims, damages, or costs arising from their use of the services.

Termination and Survival

The agreement will continue until terminated by either party. Certain provisions will survive the termination of this agreement.

Governing Law and Dispute Resolution

The agreement is governed by the laws of governing countries, and any disputes will be settled through friendly negotiations.

Relationship of Parties

This agreement does not create a partnership, joint venture, or agency relationship between ACRCloud and the customer.

Assignment

Customers may not transfer or assign their rights under this agreement without the express written consent of ACRCloud.

Entire Agreement

This agreement constitutes the entire agreement between ABRCloud and the customer, superseding all prior agreements except for any prior agreement addressing confidentiality.

Amendments and Updates

The terms and conditions may be amended from time to time to maintain compliance with the law and reflect changes in the operation of the site or user expectations.

Legal Compliance and Customization

It is essential to customize terms and conditions to address specific needs and risks, ensuring legal compliance and maintaining transparency with users.

User-Generated Content

If the site allows user-generated content, such as comments or reviews, terms governing user conduct should be included to define acceptable behavior.
